Synfi executes accounting workflows based on data and instructions provided by the firm. The system operates within parameters defined by the client organization.

Firms retain full professional responsibility for accounting decisions, judgments, and compliance. Synfi provides execution infrastructure, not professional judgment.

By using Synfi, firms acknowledge that they remain accountable for all outputs and maintain oversight of agent-executed operations.

1. Acceptance of Terms

By accessing or using the Synfi platform, you agree to be bound by these Terms of Service. If you do not agree, you may not use the platform. These terms apply to all users, including accounting firms, their staff, and authorized representatives.

2. Description of Service

Synfi provides AI-powered accounting execution infrastructure. The platform processes financial data provided by client firms to perform tasks including transaction reconciliation, expense classification, journal entry preparation, and tax obligation calculation. Synfi is execution infrastructure, not a licensed accounting firm. AI agents execute workflows on your behalf. Outputs may contain errors and must be reviewed and approved by a qualified professional before reliance or submission.

3. Professional Responsibility

Client firms are solely responsible for all accounting decisions, professional judgments, and regulatory compliance. Synfi does not provide professional accounting, tax, or legal advice. All outputs must be reviewed and approved by a qualified professional before reliance or submission.

4. User Obligations

Users agree to provide accurate and complete data, maintain appropriate access credentials, comply with applicable laws and professional standards, and supervise all agent-executed operations. Users are responsible for ensuring that use of the platform complies with their professional obligations.

5. Data and Privacy

Your use of the platform is also governed by our Privacy Policy. You retain ownership of all data you provide. You grant Synfi a limited license to process your data solely for the purpose of providing the service. We retain your data for the duration of your active service agreement. Upon termination, your data will be deleted or returned within 90 days. Synfi uses third-party AI model providers (subprocessors) who may process your data solely to deliver the service. We will notify you of any material changes to subprocessors with at least 30 days notice.

6. Confidentiality

Both parties agree to keep confidential all non-public information shared in connection with the service. Synfi treats all firm financial data, client data, and operational information as strictly confidential and will not disclose it to third parties except as required to deliver the service or as required by law.

7. Security

Synfi uses industry-standard encryption for all data in transit and at rest. Access to firm data is restricted to authorized personnel only. We maintain technical and organizational measures designed to protect your data against unauthorized access, loss, or disclosure.

8. Limitation of Liability

Synfi is not liable for errors in outputs resulting from inaccurate or incomplete input data. To the extent permitted by law, Synfi's total liability is limited to fees paid in the preceding three months. Synfi is not liable for indirect, consequential, or incidental damages. Synfi AI outputs are generated by automated agents and may contain errors. The firm is solely responsible for reviewing all outputs before reliance, submission, or use in professional engagements.

9. Intellectual Property

Synfi retains all intellectual property rights in the platform, models, and infrastructure. You retain ownership of your firm's data and outputs generated from your data.

10. Termination

Either party may terminate access upon written notice. Upon termination, your data will be deleted or returned within 90 days. Synfi may suspend access immediately for breach of these terms.

11. Governing Law

These terms are governed by the laws of Québec, Canada. Disputes will be resolved in the courts of Québec. A French version of these terms is available upon request in accordance with Bill 96.

12. Changes to Terms

We may update these terms periodically. For material changes, we will notify you at least 30 days in advance and require your affirmative acceptance before continued use of the platform.
